Terms and Conditions
Effective Date: July 4, 2026
These Terms and Conditions (“Terms”) govern your access to and use of Early Momentum Signals (“EMS,” “we,” “us,” or “our”), including our website, member areas, market-data displays, screeners, signals, audible notifications, analytics, research, and related services (collectively, the “Service”).
By creating an account, starting a Test Drive, purchasing a membership, or otherwise accessing or using EMS, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. Eligibility and Account Use
You must be at least 18 years old and legally capable of entering into a binding agreement to use EMS.
Your account is for your personal use only. You are responsible for:
• Providing accurate account information
• Maintaining the confidentiality of your login credentials
• All activity conducted through your account
• Promptly notifying EMS if you believe your account has been accessed without authorization
Account sharing, credential sharing, or allowing another person to use your membership is prohibited unless EMS expressly authorizes it in writing.
2. What Early Momentum Signals Provides
EMS is a real-time market-data, screening, analytics, and market-intelligence platform designed primarily for active momentum and day traders.
The Service may include:
• Market-leader monitoring
• Momentum screeners
• Signals and intelligence layers
• Audible notifications
• Rankings and market-state information
• Historical signal analysis
• Educational material
• Research and performance reporting
• Links to third-party charting, brokerage, or market-information services
EMS may add, remove, modify, rename, combine, refine, or discontinue features at any time as the platform evolves.
3. EMS Is an Evolving Platform
EMS is intentionally designed as a continuously developing market-intelligence system.
The platform collects and analyzes large volumes of market and signal data to evaluate timing, continuation, failures, market behavior, and the effectiveness of different screening and intelligence methodologies.
Existing screeners and signals may be modified or refined, and new intelligence layers may be introduced as EMS research develops.
You acknowledge that the Service you use today may differ materially from the Service available in the future.
EMS does not guarantee that any particular screener, signal, feature, interface, or functionality will remain unchanged or permanently available.
4. Test Drives, Memberships, Billing, and Automatic Renewal
Certain EMS features may be available through a free or promotional Test Drive.
The specific length, features, billing terms, payment requirements, and conversion terms of a Test Drive will be disclosed when you enroll.
If a Test Drive requires a payment method and automatically converts to a paid membership, the applicable price and renewal terms will be disclosed before enrollment.
Paid memberships are billed according to the plan selected at checkout and may automatically renew at the end of each billing period unless canceled.
By purchasing an automatically renewing membership, you authorize the applicable payment processor to charge your selected payment method for recurring membership fees until you cancel.
EMS will strive to present recurring-payment and Test Drive terms clearly before enrollment. Federal law regulates negative-option programs, including automatic renewals and free-to-paid trials.
5. Cancellation
You may cancel an EMS membership in accordance with the cancellation process available through your account or otherwise communicated at signup.
Cancellation prevents future renewal charges. Unless otherwise stated in the applicable offer, you will ordinarily retain access through the end of the period for which you have already paid.
EMS does not intend to make cancellation unnecessarily difficult.
6. Refunds
Refund eligibility is governed by the refund or satisfaction-guarantee terms displayed when you purchase your membership.
Any advertised satisfaction guarantee applies only according to its stated conditions and time period.
EMS reserves the right to deny refunds in cases involving fraud, abuse, repeated refund requests, account sharing, unauthorized redistribution, violations of these Terms, or misuse of the Service.
Nothing in these Terms limits any refund or consumer right that cannot legally be waived.
7. Founding Membership
EMS may offer Founding Membership or other promotional membership programs.
Founding Members receive the pricing, access, or other benefits expressly described in the offer under which they enrolled.
Founding Member status does not guarantee that every future EMS product, third-party data service, premium integration, broker connection, charting capability, or separately priced service will be included indefinitely at no additional charge.
EMS will honor specific Founding Member commitments actually made at signup.
8. No Investment Advice
EMS provides impersonal market data, analytics, screening information, educational information, and market intelligence.
EMS does not:
• Provide individualized investment advice
• Recommend that any particular user buy, sell, short, or hold a security
• Manage customer portfolios
• Exercise discretion over customer accounts
• Act as a brokerage
• Execute trades on behalf of members
• Guarantee any trading result
A ticker appearing in an EMS screener, signal, alert, ranking, audible notification, or intelligence layer reflects a market condition detected by the system.
It is not a recommendation or instruction to trade.
You are solely responsible for your own investment and trading decisions.
9. Trading Risk
Trading securities, particularly volatile momentum stocks, can result in substantial and rapid financial losses.
No scanner, signal, algorithm, indicator, alert, historical statistic, artificial-intelligence system, or market-data service can eliminate trading risk.
Results depend on many factors outside EMS’s control, including:
• Entry and exit prices
• Liquidity
• Bid-ask spreads
• Slippage
• Position size
• Order type
• Market halts
• Volatility
• Broker execution
• Internet connectivity
• Risk management
• User discipline and judgment
You should never trade money you cannot afford to lose.
Past performance, historical signal results, screenshots, case studies, measured outcomes, and examples do not guarantee future results.
10. Data Accuracy, Latency, and Availability
EMS is designed to process and display real-time or near-real-time market information, but EMS does not guarantee zero latency, uninterrupted access, or complete accuracy.
Market information may be affected by:
• Exchange delays
• Data-provider outages
• Internet interruptions
• Server failures
• Browser or device issues
• Stale data
• Missing data
• Incorrect ticks
• Corporate actions
• Third-party errors
• Software defects
• Maintenance
You are responsible for independently verifying critical market information through your broker or another trusted data source before acting.
11. Third-Party Data and Services
EMS may rely on or link to third-party services, including market-data providers, payment processors, website providers, charting platforms, brokers, analytics tools, and other vendors.
Those services are governed by their own terms and policies.
EMS does not control and is not responsible for the availability, accuracy, security, performance, or conduct of third-party services.
A link to a third-party service does not imply that the third party sponsors, endorses, or has a partnership with EMS unless we expressly state otherwise.
Third-party market-data providers may also possess independent rights in the data they supply. Similar financial-data platforms expressly restrict redistribution and preserve information-provider rights.
12. Intellectual Property and Proprietary Technology
EMS and its licensors retain all rights, title, and interest in the Service and its proprietary materials.
Protected and proprietary materials may include, without limitation:
• Software and source code
• Algorithms
• Screening methodologies
• Signal-generation methods
• Intelligence layers
• Detection logic
• Thresholds and weighting systems
• Market-state classifications
• Data-processing methods
• Historical datasets
• Derived analytics
• Research methodologies
• System architecture
• Workflows
• User interfaces
• Visual designs
• Audible alerts
• Documentation
• Written content
• Branding
• Logos
• Names
• Graphics
• Reports
Your membership grants you only a limited, revocable, non-exclusive, non-transferable right to use EMS for your own personal trading-related purposes.
It does not transfer ownership of EMS technology or intellectual property to you.
EMS may also protect confidential methods, algorithms, datasets, and internal processes as trade secrets. Federal trade-secret protection depends in part on taking reasonable measures to maintain secrecy.
13. Prohibited Use
Unless EMS provides prior written authorization, you may not:
• Share your account or login credentials
• Resell or sublicense access to EMS
• Copy, republish, broadcast, or redistribute EMS feeds or signals
• Operate a public or commercial display of EMS member content
• Scrape or automatically extract EMS data
• Use bots, spiders, crawlers, harvesting software, or similar automated tools
• Mirror any EMS page, feed, database, or Service
• Reverse engineer, decompile, disassemble, or attempt to discover EMS source code or proprietary logic
• Circumvent access controls or security measures
• Copy or recreate EMS screeners, signals, intelligence methods, or proprietary architecture
• Use EMS data, outputs, signals, or proprietary information to build or assist a competing commercial scanner,
signal service, trading platform, or analytics product
• Use EMS output to train, validate, benchmark, or develop a commercial artificial-intelligence or machine-
learning system without written permission
• Remove proprietary notices
• Introduce malware, malicious code, or disruptive software
• Interfere with or overload EMS systems
• Attempt unauthorized access to EMS systems or accounts
• Use EMS for any unlawful purpose
Limited screenshots or references for ordinary personal commentary or discussion are not prohibited unless they amount to systematic redistribution, commercial exploitation, or disclosure of proprietary material.
14. Personal Use Only
Unless EMS expressly agrees otherwise in writing, the Service is licensed for the individual member’s personal use.
Commercial redistribution, institutional use, resale, rebroadcasting, data vending, or incorporation into another commercial service requires separate written authorization.
15. Account Suspension and Termination
EMS may suspend, restrict, or terminate access if we reasonably believe that you:
• Violated these Terms
• Shared your account
• Scraped or redistributed EMS content
• Attempted to reverse engineer proprietary technology
• Engaged in fraud or payment abuse
• Attempted unauthorized access
• Threatened the security or availability of the Service
• Used EMS for unlawful activity
Where practical, EMS may provide notice or an opportunity to correct a violation, but serious security, fraud, IP, or abuse violations may result in immediate suspension or termination.
Termination does not eliminate obligations that by their nature should survive, including intellectual-property restrictions, payment obligations, disclaimers, liability limitations, and dispute provisions.
16. User Equipment and Connectivity
You are responsible for obtaining and maintaining:
• A compatible device
• Internet connectivity
• A modern browser
• Audio capability if you wish to use audible notifications
• Any brokerage, charting, or third-party software you choose to use
EMS is not responsible for losses caused by your device, internet service, browser settings, audio settings, or other local technology.
17. Service Provided “As Is”
To the fullest extent permitted by law, EMS is provided on an “as is” and “as available” basis.
EMS makes no guarantee that:
• The Service will always be available
• Every signal will be accurate
• Every market event will be detected
• Every alert will arrive at a particular time
• Every displayed value will be error-free
• The Service will meet every user’s trading needs
• Use of EMS will result in profits
To the fullest extent permitted by law, EMS disclaims warranties that may otherwise arise regarding merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted operation.
18. Limitation of Liability
To the fullest extent permitted by applicable law, EMS and its owners, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to your use of the Service.
This includes, without limitation:
• Trading losses
• Lost profits
• Lost opportunities
• Missed signals
• Delayed signals
• Data errors
• Service outages
• Third-party failures
• Unauthorized account access
• Business interruption
• Loss of data
To the fullest extent permitted by law, EMS’s aggregate liability arising from the Service will not exceed the amount you paid EMS during the three months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless EMS and its owners, employees, contractors, affiliates, and service providers from claims, liabilities, damages, costs, and reasonable legal expenses resulting from:
• Your violation of these Terms
• Your unlawful use of the Service
• Your infringement of another person’s rights
• Your unauthorized redistribution or commercial exploitation of EMS content
• Your misuse of your EMS account
20. Events Beyond EMS Control
EMS will not be responsible for delays or failures caused by circumstances reasonably outside its control, including:
• Exchange outages
• Market-data provider failures
• Internet failures
• Cloud-hosting failures
• Cyberattacks
• Natural disasters
• Government actions
• War or terrorism
• Power failures
• Labor disruptions
• Telecommunications failures
• Other force-majeure events
21. Changes to the Service and These Terms
EMS may modify the Service as the platform develops.
We may also update these Terms from time to time.
Material changes will become effective when posted or otherwise communicated as required by applicable law.
Continued use of EMS after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
22. Governing Law
These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles, except where federal law or other mandatory law applies.
Any dispute-resolution or arbitration provision separately adopted by EMS will be presented clearly and incorporated into these Terms.
23. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed only to the extent necessary, and the remainder of the Terms will remain in effect.
24. No Waiver
EMS’s failure to enforce any provision of these Terms does not waive our right to enforce that provision later.
25. Entire Agreement
These Terms, together with the EMS Privacy Policy, Risk Disclosure, refund or satisfaction-guarantee terms, and any additional terms presented during enrollment, constitute the agreement between you and EMS regarding use of the Service.
If a specific promotional or membership offer expressly conflicts with these general Terms, the specific terms disclosed for that offer will control with respect to that conflict.
